THIS AGREEMENT is made

BETWEEN:

- AND -

Vivid Marketing Inc.

205 - 6678 152 Street,

Surrey, BC, V3S 3L4.

(the "Contractor")

BACKGROUND:

Vivid Marketing Inc represents and warrants that:

- Vivid Marketing is equipped with the necessary skills, experience and qualifications needed to perform the services;

- Vivid Marketing shall perform their services in a diligent and professional system according to the standard of the industry;

- Vivid Marketing shall perform the services with the compliance of the client that Vivid Marketing has the full and unrestricted power, right and authority to enter into this agreement, execute the services, and fulfill the rights admitted in this document

Client represents and warrants that:

- Client has the full and unrestricted power, right and authority to enter into this agreement, execute the services, and fulfill the rights admitted in this document.

Agreement:

- All constituents such as images, texts or other artwork that originated from the client and is then given to Vivid Marketing shall be owned by the client.

- Any constituents allocated to Vivid Marketing shall not violate the liberty of any third parties, including trademark rights; and

- The client shall be held responsible for the validity, entirety and quality of all details concerning Client’s commodity and services given by the client to Vivid Marketing.

10-day Free Trial Period & Term of The Agreement.

The client has an option to receive 10-day Free Trial upon signing this contract. The current term of this Agreement (the "Term") will begin on the start date of the campaign and it will remain in full force and effect for 6 months (Your Service Term) after the 10-day Free Trial period. In the event of termination, Vivid Marketing and the provided agent and or team will work until deposit and budget are exhausted.

Agreement may be terminated by the client anytime during the 10-day Free Trial period by sending an email to contact@govividmarketing.com.

CONTRACT RENEWAL:

Client agrees that this contract will be in effect for the agreed upon duration, and from month-to-month immediately following the completion of this agreement.

Confidentiality.

The Contractor and Client agrees that they will not disclose, divulge, reveal, report or use, for any purpose, any confidential information which they have obtained, except as authorized by the other party or as required by law. Upon termination of this Agreement the obligations of confidentiality will continue to apply throughout the term and will survive indefinitely.

Ownership of Services.

Until paid in full Client acknowledges and agrees that Vivid Marketing shall own all legal entitlement and interest of any services provided. Client further acknowledges that it has no claim to the right, title, or interest in or to any Services produced hereunder.

Limitation of Liability.

Any circumstance beyond Vivid Marketing and its agent’s control shall not be held against Vivid Marketing. However, Vivid Marketing will inform the client about these occurrences that may involve natural disasters, power outages, public unrest and medical complications.

Notice.

All notices, requests, demands or other communications required or permitted by the terms of this Agreement will be given in writing and delivered to the Parties at the following addresses:

a) CLIENT:

b) CONTRACTOR:

Vivid Marketing Inc., 205 - 6678 152 Street, Surrey, BC, V3S 3L4.

or to such other address as either Party may from time to time notify the other.

GOVERNING LAW:

This Agreement will be governed by and construed in accordance with the laws of the Province of British Columbia, Canada.

SERVICES PROVIDED:

The Client hereby agrees to engage the Contractor to provide the Client with the following services (the "Services"):

Done For You - 6 Month Program

1.1 Lead Generation Ads: Facebook / Instagram

1.2 Ad Spend Required: $10 - $20 / day.

1.3 Lofty CRM + IDX Personal Website: $0.

1.4. Landing Pages: Home Value, FB Marketplace, Open House, Personal Brand, First Time Home Buyer, Book Funnel.

1.5. Support: Live group zoom sessions with training and action steps.

1.6. Courses: Generate FREE Hot Organic Leads & Social Media Training.

1.7. Tech Support: Get unlimited Tech support via email and personalized loom videos.

1.8. Set-up Fee: $0

PRICING:

Upon 10-day Free Trial Sign-up

Ad Spend - One Time Fee = $300 USD. (Non-refundable)

Vivid Marketing Fee = $0.

After 10-day Free Trial

Vivid Marketing Fee = $2,997 USD. (Non-refundable)

Ad Spend = $10 - $20 / day. (Client to pay directly in their local currency)

Please note:

- Tax is not included in the price above.

OUT OF SCOPE WORK:

Any Services that may include any other tasks which the Parties may agree on. These Services may incur additional fees. Any agreements to provide additional services which fall out of scope of this agreement and incur additional costs must be discussed and agreed upon by both parties either through written consent or email. Client also acknowledges that Vivid Marketing Inc may recommend 3rd party software or services, to be paid by Client upon Client’s approval. Any payments made are non-refundable.

PAUSING YOUR SERVICES:

If you wish to pause your services for any reason, there is a monthly pause fee to lock in your pricing at the same rate and avoid any increase. You will not be charged an additional setup fee on starting your campaign again. All payments are non-refundable. Please reach out to us to discuss this as it will be handled case-by-case.

SEARCH ENGINE / SOCIAL MEDIA POLICIES:

Client acknowledges that VIVID MARKETING INC has no control over the change to social media platforms or search engines policies or algorithm changes.

BILLING:

  If you’re running paid advertisement and have agreed to pay for the advertisement directly to Facebook, Google or other 3rd party services may bill you direct for your ad spend to cover the media cost to reach your ideal target audience.  

The Contractor (Vivid Marketing Inc) will bill you direct for management fees. On your Credit Card Statement, it will say: Vivid Marketing Inc.  

The Contractor (CRM Boss) will bill you direct for text, call, email pay per usage fees. On your Credit Card Statement, it will say: CRM Boss.  

All payments are non-refundable. You agree to not chargeback any fees billed to your credit card and approve all charges as stated in this agreement.  

OTHER LEGAL STUFF:

IN NO EVENT SHALL VIVID MARKETING INC BE LIABLE FOR ANY LOST REVENUE, LOST PROFITS, LOSS OF TECHNOLOGY, RIGHTS OR SERVICES, LOSS OF DATA, OR INTERRUPTION OF CLIENT’S BUSINESS, SPECIAL, INCIDENTAL, PUNITIVE, INDIRECT OR CONSEQUENTIAL DAMAGES, SUFFERED BY THE CLIENT, WHETHER OR NOT CLIENT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS, INJURY AND/OR DAMAGES. VIVID MARKETING MAXIMUM AGGREGATE LIABILITY TO CLIENT RELATED TO OR IN CONNECTION WITH THIS AGREEMENT WILL BE LIMITED TO THE TOTAL AMOUNT PAID BY CLIENT TO VIVID MARKETING HEREUNDER.

You may terminate the Program after your contract is over by giving 30 Day Written Notice. This Agreement is between Vivid Marketing Inc and Client, and your signature expressly confirms

(i) authorizes Vivid Marketing Inc to charge your credit card and you have read and agree to be bound by the Terms & Payment. Once your contract is on a month-to-month basis, all cancellations must have a 30-day notice emailed to Vivid Marketing Inc to contact@govividmarketing.com. Any cancellations that fall within 30 days of the next billing cycle will be billed at the full monthly rate stated in this contract. This amount is not refundable.

If paying by check, we require quarterly payments in advance. The Check will be payable to “Vivid Marketing Inc”, mailing address is: 205 - 6678 152 Street, Surrey, BC, V3S 3L4.

Client agrees to defend, indemnify, and hold harmless Vivid Marketing Inc, its parent companies, subsidiaries, assigns, affiliates, and each of their officers, directors, employees, and agents from any suits, claims, demands, damages, liabilities, costs, and expenses, including, without limitation, reasonable outside attorneys’ fees, arising out of, or in conjunction with (i) the breach or alleged breach by Client of any warranty or representation made by it in this Agreement; or (ii) Client’s negligent, reckless, or willful misconduct in connection with this Agreement or related SOW(s).

This agreement contained in this “Proposal” constitutes the sole agreement between VIVID MARKETING INC and Client.
